How to register an LLP in Kenya: rules and tips

An LLP is a business structure that allows partners to separate their personal liability from the liability of the partnership. This means that if the LLP incurs debts, the partners’ personal assets will be protected.

LLPs are also flexible and easy to manage, making them a popular choice for foreign investors in Kenya.

To register an LLP in Kenya as a foreigner, you must:

  1. Have at least two partners, who can be either individuals or companies.
  2. Appoint a manager who is a Kenyan resident.
  3. Register the LLP with the Registrar of Companies.

The registration process is relatively simple and can be completed online. You will need to provide the following documents:

  1. A completed LLC application form
  2. Copies of partners’ passports or ID cards.
  3. A copy of the manager’s passport or ID card
  4. A business plan
  5. A copy of the LLP agreement
